Terms of Service

These Terms of Service ("Terms") govern your access to and use of Gienie — the website at gienie.ai, the application at app.gienie.ai, and the dashboard at dash.gienie.ai (together, the "Service"). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Gienie is a system-design studio. It lets you design software architectures visually on a canvas using a catalog of documented system-design components, assisted by Gienie Architect, a built-in AI agent that can create and edit designs from plain-English requirements or attached requirements documents. The Service also offers machine validation of designs against catalog rules, projection of designs onto cloud providers (AWS, Cloudflare, Azure, and GCP), collaboration and sharing features, and export of designs in several formats.

Parts of the Service are available without an account, with designs stored locally in your browser. Other features — including cloud-saved designs, sharing, and collaboration — require an account and, in some cases, a paid subscription.

2. Accounts

You sign in to Gienie with a GitHub account. You are responsible for maintaining the security of your GitHub account and for all activity that occurs under your Gienie account. You must notify us promptly at support@gienie.ai if you suspect unauthorized use of your account.

You must be at least 16 years old (or the age of digital consent in your jurisdiction, if higher) to create an account.

3. Acceptable use

You agree not to:

• use the Service in violation of any applicable law or regulation;
• attempt to gain unauthorized access to the Service, other users' accounts, or other users' private designs;
• interfere with or disrupt the Service, including by probing, scanning, or overloading our infrastructure;
• circumvent usage limits, rate limits, or plan restrictions, including AI usage caps;
• use automated means to scrape or bulk-extract the component catalog or other Service content, except through features we provide for that purpose;
• use the Service to store or share content that is unlawful, infringing, or malicious;
• resell, sublicense, or provide the Service to third parties as a competing offering.

We may suspend or terminate access for violations of this section.

4. Your content

You own your designs. Any architecture, diagram, document, or other content you create or upload to the Service ("User Content") remains yours. We claim no ownership of it.

So that we can operate the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, render, and display your User Content, and to transmit it as you direct — for example, rendering a design for a collaborator you invited, or serving a public SVG link you created. This license exists solely to provide the Service at your direction and ends when you delete the content or your account, except where limited copies persist briefly in routine backups.

If you make a design public via a share link, anyone with the link can view it. You can disable a public link at any time.

You are responsible for your User Content and must have the rights necessary to upload it — including any requirements documents you attach for the AI to read.

5. AI features and disclaimer

Gienie Architect generates architecture suggestions using large language models, and the Service machine-validates AI-generated designs against the component catalog's rules. However, all AI output is advisory. Validation checks design-rule conformance; it does not guarantee that an architecture is correct, secure, performant, cost-effective, or fit for your specific purpose.

6. Plans, subscriptions, and billing

Gienie offers a Free plan and a paid Pro subscription (monthly or annual). Current pricing and plan contents are shown on the pricing page. We may change prices prospectively; changes take effect at your next renewal, and we will give you reasonable advance notice.

Purchases are processed by our merchant of record, which acts as the seller of record, handles payment processing, and manages applicable tax collection and compliance (including VAT/GST/sales tax). Your payment details are provided to and processed by the merchant of record, not by us. Their terms apply to the checkout transaction in addition to these Terms.

Subscriptions renew automatically at the end of each billing period (monthly or annual) unless cancelled. Usage limits — including AI usage caps — apply per your plan and are described on the pricing page.

7. Cancellation and refunds

You may cancel your subscription at any time from the dashboard or by emailing support@gienie.ai. Cancellation takes effect at the end of the current billing period: you keep Pro access until then, and you are not charged again.

Refunds are governed by our Refund Policy, which includes a 14-day money-back guarantee.

8. Termination

You may stop using the Service and delete your account at any time by contacting support@gienie.ai.

We may suspend or terminate your access to the Service if you materially breach these Terms, if required by law, or if we discontinue the Service. Where practical, we will give you notice and a reasonable opportunity to export your designs. Sections that by their nature should survive termination (including Sections 4–5 and 9–11) survive.

9. Intellectual property

The Service — including its software, component catalog, design rules, documentation, branding, and visual design — is owned by us or our licensors and is protected by intellectual property laws. Except for the rights expressly granted to you in these Terms, no rights in the Service are transferred to you. Exported copies of your own designs are yours to use freely.

10. Disclaimers and limitation of liability

The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate or reliable.

To the maximum extent permitted by law: (a) we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill; and (b) our total aggregate liability arising out of or relating to the Service will not exceed the greater of the amounts you paid us for the Service in the twelve (12) months before the event giving rise to the claim, or fifty US dollars (USD 50).

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

11. Governing law

These Terms are governed by the laws of the People's Republic of Bangladesh, without regard to conflict-of-laws principles. Courts located in Bangladesh shall have exclusive jurisdiction over disputes arising out of these Terms or the Service, except where applicable consumer-protection law grants you the right to bring proceedings in your country of residence.

12. Changes to these Terms

We may update these Terms from time to time. If a change is material, we will give you reasonable advance notice — for example by email or an in-app notice — before it takes effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to a change, stop using the Service and, if applicable, cancel your subscription.
